LLC vs sole establishment Dubai - which legal form fits

LLC vs sole establishment Dubai comes down to liability. An LLC limits each owner's liability to their capital share and can have 2 to 50 partners, or one owner as a one-person LLC. A sole establishment has one owner who is personally liable for all its debts. Both need a physical address with Ejari; typical mainland licences cost AED 10,500–18,000.

Typical range AED 10,500–AED 18,000 (typical mainland licence range October 2026, not split by legal form)

Facts checked 2026-10-26

Your legal form decides who is liable if the business owes money, how many owners you can have and what you put on the licence. On the Dubai mainland, two common choices for a single founder are a sole establishment and a limited liability company (LLC). Since the federal company law changed, one person can also own an LLC outright.

This page covers the mainland (DET) forms. Free zone companies use different forms, such as an FZE or FZCO. Facts below come from federal and Dubai government sources; confirm the rules for your activity with DET before you apply.

Quick rule: Choose an LLC if you want liability limited to your capital, expect to add partners or investors, or want a company structure that banks and clients recognise. Choose a sole establishment only if you will always be the sole owner and accept personal liability for the business's debts. For one founder who wants limited liability, a one-person LLC combines both.

Can one person own an LLC in Dubai?

Yes. Federal Decree-Law No. 32 of 2021 on Commercial Companies allows a single natural or legal person to incorporate and own an LLC, and the owner's liability is limited to the capital stated in the memorandum of association. Cabinet Resolution No. 77 of 2022 sets the procedure and says the competent authority decides on the application within five business days. The owner chooses the manager or managers in the articles. The single-member status ends when partners join, and the company then follows the general LLC rules.

The owner can still become personally liable if they wind up or suspend the company in bad faith.

Sole proprietorship vs sole establishment in Dubai

The terms overlap. Dubai.ae describes a sole proprietorship as a business owned by one person who is personally liable for all financial obligations and liabilities, and DET's licensing system lists the form as a sole establishment. A one-person LLC is sometimes also called a sole proprietorship, but it is a company with limited liability, which is a different position for the owner.

What about a civil company?

A civil company is owned by two or more partners practising a professional activity such as consultancy or training. It sits alongside the LLC and sole establishment as a mainland form, so a professional firm with several owners may need that form instead.

LLC vs sole establishment Dubai - what do you need to set up?

The federal guide lists nine steps: choose the activity and legal form, apply for the trade licence, register the trade name, obtain initial approval, draft the memorandum of association where required, choose a location, collect any additional approvals, then submit documents and pay. Initial approval means no objection to the business; it does not authorise you to operate. Pay the licence fee within 30 days of the payment voucher or the application is cancelled.

  • A lease contract registered with Ejari (in Dubai) is needed to collect the licence
  • Some activities need approvals from other bodies, such as TDRA, the Central Bank or the Ministry of Economy
  • Foreign investors need General Directorate of Residency and Foreigners' Affairs approval before initial approval

How to choose between an LLC and a sole establishment

  1. Count the owners

More than one owner rules out a sole establishment.

  2. Decide how much personal risk you accept

A sole establishment leaves the owner liable without limit; an LLC limits liability to the capital share.

  3. Check your activity

Some activities are restricted for foreign owners or need an approval, whichever form you choose.

  4. Ask DET about agent and document requirements

Requirements can differ by form and by activity, so confirm them before you pay.

  5. Get an itemised quote

Licence, office with Ejari, approvals and service fees on separate lines.

Things to weigh up

  • Liability protection depends on running the company properly; the owner can become liable in some cases, such as bad-faith winding up
  • The federal guide still lists an attested local service agent agreement among documents for some structures, so ask DET whether one applies to your form and nationality
  • Our price range is a market range for mainland licences and is not split by legal form
  • This is general information, not legal advice; ask a UAE lawyer for company-specific questions

Common questions

What is the difference between an LLC and a sole establishment in Dubai?

An LLC is a company whose owners are liable only up to their capital share, with 2 to 50 partners or one owner as a one-person LLC. A sole establishment has a single owner who is personally liable for all the business's debts.

Is a sole proprietorship the same as a sole establishment in Dubai?

In practice the terms are used for the same single-owner form, which Dubai.ae calls a sole proprietorship and DET calls a sole establishment. A one-person LLC is a different structure because the owner's liability is limited.

Can a foreigner own a sole establishment or LLC in Dubai?

For most activities, yes. Dubai.ae says most business activities allow 100% foreign ownership, with certain strategic sectors excluded. Ask DET about any agent or approval requirement for your activity.

Do I need a memorandum of association for a sole establishment?

The federal guide lists a memorandum of association for LLCs, limited partnerships and joint stock companies. Ask DET which documents your exact form needs, since requirements can vary by activity.

Which is cheaper, an LLC or a sole establishment?

Licence fees depend mainly on the activity and the office, and typical mainland licences cost AED 10,500–18,000. Ask DET or your adviser for a form-specific quote.
